Terms of Use & Service
Effective date: 29 October 2026
1. Introduction and Acceptance
These Terms of Use & Service (“Terms”) govern access to and use of the PeppitLabs website, its free resources, and services provided under the PeppitLabs brand.
PeppitLabs is operated by Scalability Gurus LLC, a limited liability company formed in Delaware, United States (“PeppitLabs,” “we,” “us,” or “our”).
Business address: 2604 Whittier Pl, Wilmington, DE 19808, United States
Contact email: teampeppitlabs@yahoo.com
By accessing or using the website, you agree to the provisions governing general website use, to the extent permitted by applicable law.
Paid services, project-specific obligations, payment commitments, and other material commercial terms must be presented clearly and accepted through an appropriate process before they become binding. Merely browsing the website should not be treated as proof that you accepted every paid-service obligation.
If you do not agree to these Terms, discontinue use of the website and its services.
2. Our Services
PeppitLabs provides business and technology services that may include:
- AI automation strategy and implementation.
- Workflow automation and business process optimization.
- CRM configuration and integrations.
- Shopify, Google Sheets, and other business-system integrations.
- API integrations and data-transfer workflows.
- Custom automation development.
- Related consulting, implementation, maintenance, and support.
The specific services, deliverables, requirements, pricing, timelines, and acceptance criteria for a project will be established in the applicable proposal, estimate, order, or other written project confirmation accepted by both parties.
We may change or discontinue website content and general offerings, subject to applicable law and any binding commitments already made.
3. Eligibility and Authority
There is no fixed minimum age solely for browsing public website content.
However, anyone commissioning services or entering into a contract must have the legal capacity and authority required by applicable law.
If you enter into an agreement on behalf of a company or other organization, you represent that you are authorized to bind that organization to the relevant terms.
You must provide accurate information and must not misrepresent your identity, authority, or business requirements.
4. Project Scope and Deliverables
Each project will have a defined scope based on the accepted proposal, estimate, order, or written confirmation.
Deliverables may include automation workflows, integrations, scripts, configurations, documentation, and other items expressly included in the agreed scope.
Work that is not included in the agreed scope will be treated as additional work.
Changes to scope
If you request additional features, integrations, revisions, or other work beyond the agreed scope, PeppitLabs will provide a revised estimate for your approval before performing the additional work.
The revised estimate may specify:
- Additional fees.
- Revised delivery dates.
- Additional technical requirements.
- Dependencies on third-party systems.
- Changes to testing, support, or acceptance criteria.
PeppitLabs is not required to perform additional work until the revised estimate has been approved.
5. Client Responsibilities
You agree to provide the information, access, approvals, credentials, content, and cooperation reasonably required to deliver the agreed services.
You are responsible for:
- Ensuring that information provided to PeppitLabs is accurate and lawful to use.
- Obtaining necessary permissions to access and process relevant data.
- Maintaining appropriate rights and licences for your systems, content, and software.
- Providing timely decisions, approvals, and feedback.
- Maintaining appropriate access permissions and security for accounts under your control.
- Complying with applicable laws and the terms of third-party platforms you use.
Client-caused delays
If delivery is delayed because required information, access, credentials, or approvals are not provided on time, project timelines may be extended reasonably.
PeppitLabs may pause work until the required inputs are supplied. Prolonged delays may require a revised estimate or delivery schedule.
PeppitLabs will communicate material changes to the project timeline or scope where reasonably practicable.
6. Fees and Payment Terms
Unless the applicable written project terms specify otherwise, the default payment structure is:
- 50% advance payment before project work begins.
- The remaining balance payable at the agreed project milestone.
- Invoices due within 7 calendar days of the invoice date, unless otherwise stated in the accepted project terms.
- Default billing currency: US dollars (USD).
Project-specific estimates may establish different milestone arrangements, recurring billing schedules, currencies, or payment conditions.
You are responsible for any applicable taxes, duties, or charges associated with your purchase, except for taxes imposed on PeppitLabs' income.
Payment methods
PeppitLabs may accept payments through Stripe, Wise, and bank transfer, subject to availability and the instructions provided with the relevant invoice.
Payment processors and financial institutions may impose their own terms, fees, verification requirements, and transaction restrictions.
Overdue payments
No fixed late fee is imposed under these default Terms.
If an invoice remains unpaid, PeppitLabs may provide written notice and, for persistent non-payment, suspend services or terminate the engagement in accordance with these Terms and applicable law.
Suspension or termination does not automatically eliminate outstanding payment obligations for work properly performed or other amounts legally due.
7. Refunds and Cancellations
Project build fees
Refunds may be available for undelivered milestones, less the value of completed work and non-recoverable costs, subject to the applicable project terms and law.
Refund calculations will consider the agreed scope, work completed, milestone status, and costs reasonably incurred that cannot be recovered.
Nothing in these Terms excludes a refund or other remedy required by applicable law.
Recurring services
The minimum commitment period for a recurring service will be specified in the applicable project terms.
After the applicable minimum term, cancellation may take effect immediately, subject to the agreed service terms, any outstanding payment obligations, and applicable law.
Where a project specifies a different cancellation process, the accepted project terms will govern to the extent legally permitted.
Cancellation by PeppitLabs
PeppitLabs may terminate a service for serious misconduct, unlawful activity, or material security risks where immediate termination is reasonably necessary.
For other material breaches, PeppitLabs may provide written notice and a reasonable opportunity to remedy the breach before terminating, where appropriate and legally required.
Upon termination, fees for completed work and other amounts properly due remain payable, subject to applicable law and any agreed refund or adjustment.
8. Intellectual Property
Intellectual property ownership may vary by project.
The applicable accepted proposal, estimate, order, or written confirmation should specify ownership and licensing rights for the relevant deliverables.
Unless otherwise agreed in writing, payment alone does not automatically transfer every intellectual property right associated with a project.
Pre-existing materials
PeppitLabs retains rights to its pre-existing tools, methods, templates, frameworks, know-how, and other materials that it owns or is licensed to use, except to the extent expressly agreed otherwise.
Where those materials are incorporated into a deliverable, the applicable project terms should specify the rights granted to the client.
Third-party materials
Software, APIs, libraries, platforms, and other third-party materials remain subject to their own licences and terms.
PeppitLabs cannot transfer ownership of intellectual property it does not own or have the right to transfer.
Client materials
You retain the rights you hold in materials you provide to PeppitLabs. You grant PeppitLabs the limited permissions reasonably necessary to use those materials to deliver the agreed services.
9. Free Tools, Templates, and Educational Materials
PeppitLabs may provide free tools, templates, guides, lessons, calculators, or other resources.
Subject to any resource-specific licence or notice, you may use these resources for personal, educational, and commercial purposes.
You may not resell, redistribute, rebrand, or represent PeppitLabs' resources as your own products.
You may not remove proprietary notices or use the resources in a manner that infringes intellectual property rights or violates applicable law.
Any additional permissions or restrictions expressly stated for a particular resource will apply to that resource.
10. Client Confidentiality and Marketing
Each party should protect the other party's confidential information and use it only for purposes reasonably connected with the relevant business relationship, except where disclosure is authorized or legally required.
Client project data may be used only to deliver the contracted services, subject to applicable law and the relevant project arrangements.
PeppitLabs does not claim a general right to use client project data for unrelated purposes or general AI training.
Client names, logos, and project results
PeppitLabs may identify clients and refer to project results in its marketing unless the client objects.
Clients who do not wish to be identified in marketing may submit an objection to teampeppitlabs@yahoo.com.
Use of client names, logos, testimonials, or identifiable case-study information remains subject to applicable confidentiality obligations, intellectual property rights, and law. Where separate authorization is legally required, it must be obtained before the material is used.
11. Third-Party Platforms and Subscriptions
Projects may depend on third-party platforms, software, APIs, hosting providers, CRMs, AI services, or other external systems.
Unless expressly agreed otherwise in writing, clients are responsible for purchasing, maintaining, and paying for their own third-party subscriptions and usage charges.
You are responsible for compliance with the applicable third-party terms, licences, acceptable-use policies, and account requirements.
Third-party services may change their features, prices, access permissions, technical requirements, or availability. Such changes may affect a project and may require additional work or revised estimates.
PeppitLabs will use reasonable efforts to address project dependencies within the agreed scope but cannot control every aspect of third-party platforms.
12. AI Services and Business Outcomes
PeppitLabs may use external AI platforms and APIs when required to deliver a particular project. The platforms and data-processing arrangements may vary by project and workflow.
Where external providers are used to process client data, that processing will be handled in accordance with the applicable project arrangements, privacy obligations, and law.
Specific business outcome guarantees, if any, will be established in the relevant accepted project terms. No universal promise of revenue growth, lead generation, conversion rates, cost savings, or other business results is made by these general Terms.
The outcome of an automation project may depend on client implementation, the quality of input data, external platforms, business conditions, and other factors beyond PeppitLabs' control.
13. Service Availability, Maintenance, and Support
PeppitLabs will use reasonable efforts to maintain its services and deliver work in accordance with the agreed scope.
However, uninterrupted or error-free operation is not guaranteed.
Services may be affected by maintenance, outages, API changes, security incidents, third-party restrictions, infrastructure failures, or circumstances beyond reasonable control.
Warranty periods, bug-fix commitments, maintenance, response times, and post-delivery support arrangements vary by project and should be specified in the applicable project terms.
Where a project includes a bug-fix period, it applies to qualifying defects against the agreed specifications. New features, changed requirements, and work required because of subsequent third-party changes may be treated as additional work.
14. Subcontracting
Subcontracting arrangements may vary by project.
Where PeppitLabs engages a specialist freelancer, contractor, or subcontractor, it will take reasonable steps to ensure that the arrangement is consistent with its contractual obligations, confidentiality commitments, and applicable data-protection requirements.
Where required by law or the applicable project arrangements, PeppitLabs will obtain the necessary authorization or provide relevant disclosures before allowing a subcontractor to access client information.
15. Data Protection and Security
Our collection and use of personal information are described in our Privacy Policy.
Where PeppitLabs processes personal data for a client, the client and PeppitLabs will comply with their respective obligations under applicable data-protection law and the relevant project arrangements.
PeppitLabs will use reasonable security measures designed to protect information within its control.
If a security incident or personal data breach occurs, PeppitLabs will assess and respond to the incident and notify affected parties or authorities where required by applicable law.
Client data retention, deletion, access, and handover arrangements may vary according to the project, the systems involved, legal retention duties, and applicable instructions.
16. Deliverables and Handover
When an engagement ends, clients retain the rights applicable to deliverables for which they have paid, subject to the relevant ownership terms, licences, third-party restrictions, and applicable law.
PeppitLabs will provide a reasonable handover of completed, paid-for deliverables and relevant documentation within the agreed scope.
Additional transition assistance, migration work, or extended support may require a separate estimate.
Unpaid work, pre-existing proprietary materials, third-party accounts, and third-party software rights are handled according to the applicable project terms and licences.
17. Acceptable Use
You must not use the website or services to:
- Violate applicable law or another person's rights.
- Gain unauthorized access to systems, accounts, data, or networks.
- Introduce malicious code or interfere with the security or operation of services.
- Conduct fraud, impersonation, or unauthorized surveillance.
- Misuse personal information or access data without the necessary authority.
- Infringe intellectual property or misuse confidential information.
- Circumvent security controls or abuse third-party platforms.
- Use our services for prohibited or unlawful purposes.
We may take reasonable action to address misuse, including restricting access, pausing work, or terminating an engagement where justified and legally permitted.
18. Disputes About Invoices or Deliverables
If you dispute an invoice or believe a deliverable does not conform to the agreed specifications, notify PeppitLabs in writing with reasonable details of the issue.
The parties will attempt to resolve the matter in good faith.
Where a defect against agreed specifications is verified, PeppitLabs will have a reasonable opportunity to correct it, subject to the scope, project terms, and applicable law.
This process does not remove any non-waivable rights or automatically determine whether a disputed payment may lawfully be withheld.
19. Limitation of Liability
The maximum liability of PeppitLabs and Scalability Gurus LLC, the treatment of indirect or consequential losses, and any exceptions must be established in a manner appropriate to the applicable law and the services provided.
No specific monetary liability cap is established by these general Terms. Any cap will be set out in the applicable project terms.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.
20. Indemnification
To the extent permitted by applicable law, each party remains responsible for its own unlawful conduct and breaches of its obligations.
Any indemnification obligations, including responsibility for third-party claims arising from client-provided materials, unauthorized data use, or infringement of third-party rights, should be specified in the applicable project terms.
Nothing in this section creates an indemnity that cannot lawfully be imposed.
21. Force Majeure
Neither party will be responsible for a failure or delay in performing obligations to the extent caused by an event beyond its reasonable control, subject to applicable law.
Qualifying events may include natural disasters, war, government actions, widespread infrastructure failures, major internet or telecommunications outages, and significant third-party service disruptions.
The affected party should provide notice where reasonably practicable and take reasonable steps to mitigate the impact and resume performance.
This provision does not automatically excuse payment obligations for work already performed or override rights that cannot legally be excluded.
22. Termination
PeppitLabs may suspend services or terminate an engagement for persistent non-payment after notice.
PeppitLabs may terminate an engagement immediately where serious misconduct, unlawful activity, or material security risks make immediate termination reasonably necessary, subject to applicable law.
For other material breaches, notice and a reasonable opportunity to remedy the breach may be provided where appropriate.
Upon termination:
- Outstanding amounts properly due remain payable, subject to applicable law.
- Access to services may end as appropriate to the circumstances.
- Handover of completed, paid-for deliverables will be handled under these Terms and the applicable project arrangements.
- Client data will be handled according to the Privacy Policy, project instructions, retention obligations, and applicable law.
- Rights and obligations that by their nature should continue will survive to the extent legally permitted.
23. Dispute Resolution
The parties will first attempt to resolve disputes through good-faith informal negotiations.
This process does not prevent either party from seeking urgent court relief or exercising rights where applicable law permits or requires a different procedure.
If informal resolution fails, either party may pursue remedies available under the applicable law and jurisdiction provisions below.
24. Governing Law and Jurisdiction
These Terms are intended to be governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles, to the extent legally permitted.
The parties intend that disputes be brought before the competent courts located in or serving Wilmington, Delaware, subject to applicable jurisdictional rules and mandatory legal protections.
This clause does not remove mandatory consumer protections, statutory rights, or other legal requirements that cannot lawfully be waived.
25. Changes to These Terms
PeppitLabs may update these Terms from time to time.
Revised versions will be published on the website with an updated effective date. Additional notice or renewed acceptance will be provided where required by law or necessary to make a material contractual change effective.
A revised website posting does not automatically modify an existing agreement where separate acceptance is legally required.
26. Severability and No Waiver
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue to apply to the extent legally permitted.
A failure to enforce a provision does not automatically waive the right to enforce it later.
27. Entire Agreement and Project-Specific Terms
These Terms govern general website use and provide the default framework for PeppitLabs services.
The accepted proposal, estimate, order, or other written project confirmation may specify project-specific deliverables, fees, milestones, ownership, support, warranty, cancellation, and other commercial conditions.
Where a project-specific term expressly conflicts with these general Terms, the project-specific term will govern that matter to the extent it was validly accepted and is legally enforceable.
Any mandatory legal right or protection prevails over a conflicting contractual provision to the extent required by law.
